1. Acceptance of Terms
By purchasing or subscribing to services from HMDIA Design & Marketing, you agree to these Terms & Conditions.
If you do not agree, please do not use our services.
2. Services Provided
We provide:
- WordPress Hosting
- WooCommerce Hosting
- Website Maintenance
- Security & Backup Services
- Annual subscription-based plans
Service features vary by plan as described on our website.
HMDIA reserves the right to modify, update, or discontinue any service or feature at any time without prior notice.
3. Billing & Automatic Renewal
All plans are billed annually in advance unless otherwise stated.
By purchasing a subscription, you explicitly authorize HMDIA Design & Marketing to automatically charge your selected payment method on a recurring basis without further approval prior to each renewal.
Subscriptions renew automatically at the end of each billing period unless canceled prior to the renewal date.
Renewal charges will be processed using the payment method on file.
It is the client’s responsibility to ensure payment information is accurate and up to date.
HMDIA reserves the right to change pricing at any time. Updated pricing will apply at the next billing cycle.
Failure to process payment may result in service suspension or termination.
4. Non-Payment, Suspension & Data Retention
If payment for any service is not received by the due date, HMDIA reserves the right to suspend or deactivate the service without further notice.
If the outstanding balance remains unpaid, the service may be permanently terminated.
All website files, emails, databases, and associated data may be permanently deleted 10 days after service deactivation, or sooner at our sole discretion. After this period, data recovery may not be possible.
It is the client’s responsibility to maintain independent backups. HMDIA is not liable for any data loss resulting from suspension, termination, or non-payment.
5. Cancellation
Clients must submit cancellation requests prior to the renewal date.
Failure to cancel before renewal will result in automatic billing for the next term.
Cancellation does not guarantee a refund unless stated in the Refund Policy.
6. Refund Policy
Refund requests must be submitted within 14 days of initial purchase.
After 14 days, all payments are non-refundable.
Renewals are non-refundable unless otherwise required by law.
7. Payment Disputes & Chargebacks
Initiating a chargeback or payment dispute without first contacting HMDIA to resolve the issue is a violation of these Terms.
HMDIA reserves the right to immediately suspend or terminate services and permanently delete associated data in the event of a chargeback.
Any outstanding balances, including chargeback fees, may be sent to collections.
8. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Maintain secure login credentials
- Maintain valid licenses for any third-party themes or plugins unless provided by HMDIA
- Not use services for illegal, abusive, or harmful purposes
Prohibited activities include, but are not limited to:
- Malware distribution
- Phishing or fraudulent activity
- Spam or unsolicited email campaigns
- Hosting pirated or copyrighted content without proper authorization
9. Backups & Data Disclaimer
Backup services, if included in a plan, are provided as a convenience only and are not guaranteed.
HMDIA does not guarantee the availability, accuracy, or restorability of backups.
Clients remain solely responsible for maintaining their own independent backups at all times.
10. Service Availability
We strive to provide reliable and high-quality services; however, we do not guarantee uninterrupted or error-free operation.
Services may be affected by scheduled maintenance, third-party failures, or unforeseen technical issues.
No Service Level Agreement (SLA) is provided unless explicitly stated in writing.
11. Limitation of Liability
HMDIA Design & Marketing shall not be liable for:
- Website downtime
- Loss of revenue, profits, or business opportunities
- Data loss
- Indirect, incidental, or consequential damages
Total liability shall not exceed the total amount paid by the client in the previous 12 months.
12. Termination
We reserve the right to suspend or terminate services immediately if:
- Payment is overdue
- These Terms are violated
- Illegal or abusive activity is detected
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada.
